Everton recently acquired Hays Lake Gold Inc., a private mining exploration company with various options to acquire a consolidated land package located in the Shoal Lake area, near Kenora, Ontario. The 38 km² Shoal Lake Gold Project is comprised of two significant high grade gold deposits: Duport and Cedar Island.
Everton is actively exploring in the Dominican Republic, with land claims totalling 382 km², adjacent to where the world’s largest gold mining company, Barrick Gold is partnering with Goldcorp to develop the Pueblo Viejo deposit, at an estimated cost of $2.7 billion. The deposit contains 29.6 million ounces of gold, 4.8 billion pounds of zinc, 621.7 million pounds of copper and 173.6 million ounces of silver (December 2008). Everton also holds an impressive land package adjacent to Xstrata’s Falcondo nickel mine in the Dominican Republic.
Everton is also exploring in the Opinaca region of James Bay, Quebec where Everton has amassed a large land claim adjacent to Goldcorp’s Eleonore gold deposit, acquired from Virginia Mines for approximately $500 million, where Goldcorp announced a gold resource estimate of 5.31 million ounces of gold in December 2008 (total resource, all categories).

Ontario
In September 2009, Everton completed the acquisition of Hays Lake Gold ("HLG") whereby the Company acquired all of the issued and outstanding shares of HLG. HLG has various options to acquire a consolidated land package located in the Shoal Lake region of northwestern Ontario, in the prolific Archean Greenstone Belt. The land package is comprised of two adjacent properties, Shoal Lake West (‘‘SLW’’) and Shoal Lake East (‘‘SLE’’) covering 38 km² and located approximately 45 km southwest of Kenora, Ontario.
Shoal Lake West
In 2006, Indicated Mineral Resources were estimated at 424,000 tonnes grading 13.40 g/t Au for 182,000 contained ounces of gold. In addition, Inferred Mineral Resources were estimated at 387,000 tonnes grading 10.69 g/t Au for 131,000 contained ounces of gold. To date, most of the work on SLW has been concentrated in the area of the known zones at the Duport gold deposit.

Shoal Lake East
In 2003, a mineral resource estimate on the Cedar Island gold deposit was completed in accordance with NI 43-101 guidelines, resulting in an indicated mineral resource estimate of 1,096,000 tonnes grading 6.63 g/t Au for 234,000 contained ounces of gold and an inferred mineral resource estimate of 832,000 tonnes grading 5.63 g/t Au for 151,000 contained ounces of gold.

Dominican Republic
Everton holds 382 km2 of highly prospective mineral rights in the Dominican Republic, including a large land position adjacent to Barrick/Goldcorp's Pueblo Viejo deposit that contains over 20 million ounces of gold. Everton also holds an impressive land package adjacent to Xstrata's Falcondo nickel mine in the Dominican Republic.
In early 2007, Everton and its partner GlobeStar Mining Corp. launched a major airborne geophysical survey on all properties owned by the companies in the central Dominican Republic. This includes Cuance, Los Hojanchos, Jobo Claro, Ampliacion, Loma el Mate and the Maimon Copper Group of concessions.
Ampliacion Pueblo Viejo (APV)
The Ampliacion Pueblo Viejo Concession consists of 4,045 hectares adjacent to the northern edge of Barrick/Goldcorp’s 29 million ounce Pueblo Viejo mine. Recent trench work by Linear Gold has encountered significant mineralization grading 11.3 g/t gold and 310 g/t silver over 18 meters.

Loma el Mate
Everton has acquired the option for an additional undivided 15% interest in the concession from Linear Gold, thereby increasing its interest to 65%, by incurring all additional expenditures on the concession to the completion of a bankable feasibility study.

Cuance and Los Hojanchos
Everton is fully funding exploration on the Cuance and adjacent Los Hojanchos concessions and has already spent US$1 million of a committed US$1.17 million exploration program. After the completion of this drill program, the Company will have earned a 50% interest in the Cuance and Los Hojanchos concessions from GlobeStar Mining. Everton can earn an additional 20% by funding a feasibility study to bring the project into production.

Jobo Claro
In 2007, Everton acquired its 100% interest in the 53 km² Jobo Claro concession adjacent to the eastern edge of the Pueblo Viejo Mine.

Fresso
In May 2008, Everton signed a 1-year option agreement to acquire a 100% interest in the Fresso concession, which is located in north-western Dominican Republic. The Fresso concession covers 6,650 hectares (66.5 km2) where an extensive zone of disseminated sulphides mineralization occurs within the siliceous bedded chert.

Quebec
Everton Resources holds an impressive land position with over 699 km² in Quebec and is one of the largest landholders around the Eleonore gold discovery in the Opinaca region which was acquired by Goldcorp for approximately $500 million.
In May 2008, Everton announced the sale of 18 of its non-Opinaca properties to a new entity, NQ Exploration Inc., which will control an impressive property portfolio in the James Bay area of Quebec. This sale will enable Everton to focus all of its resources in the Opinaca Reservoir Area adjacent to Goldcorp's Eleonore gold deposit. Furthermore, it allows Everton shareholders to participate in the growth of the new vehicle and converts these assets at approximately three times Everton's acquisition and exploration costs.
Sirmac Lithium
The 645 hectare 100%-owned Sirmac Lithium Project is comprised of 15 contiguous claims accessible from a secondary road via the all-weather Route du Nord and located 110 km north of Chibougamou, Quebec. The claims were acquired by map-staking in 2007.

pinaca, James Bay
On December 9th, 2004, Everton signed an option agreement with Azimut Exploration to earn up to 65% interest in two blocks covering 284 km² by spending $4.8 million in exploration work, and cash payment of $340,000 over 5 years. These claims are adjacent to Virginia Gold Mine Inc.'s Eleonore gold deposit in James Bay, Quebec, which was recently acquired by Goldcorp. Everton is the operator of the Opinaca project.

Wildcat, James Bay
In January 2005, the Company acquired 100% interest in seven blocks of claims, totalling 302 km² in the immediate area of the Eleonore gold discovery. The claims were acquired from an independent staking syndicate for a $100,000 payment and 300,000 shares of the Company. An additional block of claims (Wildcat #8) was acquired by the Company by map-staking.

André Audet, President & CEO, Chairman
Mr. Audet was formerly a Vice-President at BMO Nesbitt Burns specializing in private portfolios and mining investments from 1989-1999; he was also a Financial Advisor at Midland Doherty and Royal Trust from 1987-1989. Mr. Audet graduated with a Bachelor of Commerce degree (Major in Finance) from the University of Ottawa in 1982. Mr. Audet is a Certified Investment Manager (CIM) and possesses more than twenty years of experience in the financing of public companies.
Mr. Audet was one of the founders of Orezone Resources Inc., a mining company whose shares are publicly traded on the TSX as well as on AMEX. Mr. Audet is the Chairman of the Board of Majescor Resources Inc. & Adventure Gold Inc. as well as a Director of Mazorro Resources Inc., three publicly-traded junior mining exploration companies. Mr. Audet is also a Director of Pediment Exploration Inc., a publicly-traded mining exploration company.
Khadija Abounaim, Chief Financial Officer and Corporate Secretary
Ms. Abounaim has been the Company’s Controller for over 4 years and previously held the position of Senior Financial Auditor at PricewaterhouseCoopers International. Her experience also includes management positions at several companies in Canada and abroad including the Public Service Alliance of Canada. Khadija holds a Bachelor’s degree in Business Administration and a Diplôme national d’expertise comptable.
Marc L'Heureux, Vice-President of Exploration and Acquisitions
Marc has more than 20 years of experience as a professional geologist in the exploration for gold, nickel, base metals and diamonds in the Province of Quebec, as well as throughout Latin America. He was employed by Cambior, Falconbridge and Barrick up to 1997. Following that, he worked for junior corporations such as Boreal Exploration, GlobeStar Mining and Majescor Resources up to 2003, when he joined Everton Resources.
Mr. L'Heureux holds a Bachelor's degree in Geology from the University of Quebec in Montreal and a Masters degree in Applied Geochemistry from the University of Quebec in Chicoutimi. He is a member in good standing of the Quebec Association of Geologists.

Michael Farrant
Mr. Farrant is a chartered accountant with over 12 years of financial management experience in the mining sector, primarily in gold. He currently serves as President and CEO of Sierra Mineral Inc. after having served as CFO of a number of junior development stage and producing mining companies. During his 6 years with Barrick Gold Corporation and 3 years with Kinross Gold Corporation, he held progressively senior finance positions, including Vice President and Treasurer of Kinross. Mr. Farrant holds a Bachelor of Commerce with Honours, from Queen's University in Kingston, Ontario, and earned his CA designation in 1995 while with Coopers & Lybrand.
Brooke Macdonald
Brooke Macdonald is President of Macdonald Consulting LLC, and an advisor on doing business in Latin America. For the past four years, Brooke was Vice President Legal Affairs of Skye Resources Inc. (Fenix nickel project, Guatemala) until its recent acquisition by HudBay Minerals Inc. He has more than 18 years experience in the mining industry, specializing in exploration and mine development joint ventures in Latin America, as legal counsel and as Placer Dome’s country manager in Venezuela. He is knowledgeable in corporate and mining law in North and Latin America, is a member of the New York Bar, and earned his law degree from Queen’s University in Ontario.
Ian MacLean
Mr. MacLean began his career in 1996 with Nevsun Resources. In 2001, he joined Bema Gold Corporation as the Manager of Investor Relations and was appointed Vice President Investor Relations in 2006. Mr. MacLean has a Bachelor of Arts degree from Carleton University in Ottawa ON, Canada.
John Paterson
Mr. Paterson is a professional mining engineer who brings with him over 30 years of experience with both major and junior mining companies. As President and CEO of junior mining companies between 1993 and 2007, he developed three heap leach gold operations in Mexico, Guatemala and Honduras. Currently, Mr. Paterson also serves on the Board of Plato Gold Corp. and Columbia Metals Corporation Ltd. Mr. Paterson holds both B.Sc. and M.Sc. degrees from Queen's University in Kingston, Ontario.
Alexander Stewart
Mr. Stewart is a lawyer who practiced corporate and securities law as the principle of Stewart & Associates from 1982-2001 with a focus on public companies, financing and going public transactions. Since 1996 he has also been the President and a principal of the RTO Zarex Group (www.rtozarex.com), a private merchant bank which focused on providing seed capital to emerging growth companies in connection with original listings and reverse takeovers on various stock exchanges. Mr. Stewart is currently the President of Minerx Inc., and has been a director and senior officer of in excess of a dozen public companies trading on a number of exchanges including TSX, TSXV, Nasdaq, OTCBB, NYSE and their predecessors.
Mr. Stewart was the co-founder, Chairman and CEO of Hays Lake Gold Inc. which consolidated the various advanced gold exploration and development properties now comprising Everton’s new Shoal Lake project near Kenora, Ontario and was instrumental in accomplishing the acquisition of that company by Everton Resources Inc. in September 2009. Mr. Stewart holds a Bachelor of Arts (Economics) degree from the University of Western Ontario, and a Juris Doctor law degree from the University of Toronto.
